Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of software, services, and products provided by Gerald B. Hull, doing business as DownEast Skunkworks ("we," "us," or "our"). By engaging our services or using any software we provide, you agree to be bound by these Terms.

2. Disclaimer of Warranty

All software and services are provided on an "as-is" and "as-available" basis. DownEast Skunkworks makes no warranties, express or implied, regarding the functionality, reliability, availability, or fitness for a particular purpose of any software or service delivered. We do not guarantee that software will be error-free or operate without interruption.

3. Limitation of Liability

In no event shall DownEast Skunkworks be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, business interruption, or any other commercial damages or losses arising out of or related to the use or inability to use our software or services, regardless of the cause of action or the theory of liability.

5. Refund and Dispute Policy

When custom software is provided as a SaaS (Software as a Service), a refund may be issued only if a refund policy is specifically detailed in the service agreement between DownEast Skunkworks and the customer. All other billable items — including but not limited to consulting, development hours, and one-time deliverables — are non-refundable.

Any disputes regarding charges or services should be directed to support@downeastskunkworks.com within 30 days of the charge in question.

6. Cancellation Policy

For subscription-based services, you may cancel your subscription at any time. Upon cancellation, your service will remain active for the remainder of the current billing period. The cancellation will take effect at the next renewal date, and no further charges will be applied. No partial refunds will be issued for unused portions of the current billing period.

All promotional offers and discounts will be clearly detailed on our official website, www.downeastskunkworks.com. Any other representation of promotional discounts not published on the official website is void and shall not be honored.

8. Governing Law

These Terms and any disputes arising out of or related to them or our services shall be governed by and construed in accordance with the laws of the State of Maine, without regard to its conflict of law provisions.

9. Binding Arbitration

In the event that any dispute, claim, or controversy arising out of or relating to these Terms or our services cannot be resolved through good-faith negotiation between the parties within thirty (30) days, such dispute shall be resolved exclusively through binding arbitration. Arbitration shall be conducted in Washington County, Maine, in accordance with the rules of the American Arbitration Association. The decision of the arbitrator shall be final and binding upon both parties and may be entered as a judgment in any court of competent jurisdiction.

By agreeing to these Terms, you waive your right to participate in a class action lawsuit or class-wide arbitration against Gerald B. Hull d/b/a DownEast Skunkworks.

10. Legal and Export Restrictions

Our services are intended for use within the United States. Any use of our software or services must comply with all applicable local, state, and federal laws. We make no representation that our services are appropriate or available for use in other jurisdictions.

11. Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after any changes constitutes acceptance of the revised Terms.
